                    THF ENTERTAINMENT SUMMER-END FESTIVAL
                                  2011 VENDOR AGREEMENT

IT IS AGREED: The THF Entertainment committee invites you to participate in the Summer-End to be held on October
8th & 9th, 2011 at the Mervyn’s North Parking Lot in the prime business location of Torrance,  California, right across
the street from the Del Amo Mall.

1. Vendor Fee is for both days. Transient Permit is provided for Merchandise, Business, Arts & Crafts, and
Informational Vendors.

Food Vendors have to obtain a “Food License” from the Torrance City Hall and have a Temporay Health Permit  for
Torrance from the County of Los Angeles Health Department  to conduct his/her business in a public Place.

2. All Vendors with the exception of informational vendors are required to have a California Sellers Permit necessary to
conduct his/her business in a public place.

3. Vendor Spaces are 10X10’, 10’X15’ ,10’X20’ and 16'X16' in size and you must provide your own water, table, chairs,
and
extensions cords, generators and fixtures as necessary to display your wares.

4. Vendor will provide own booth materials. Only the Space paid for is provided. Spaces will be assigned on a
first come, first serve basis once payment has been received.

5. Vendor agrees to leave their area CLEAN of all debris.

6. Vendor agrees to conduct his/her business in compliance with all Federal, State and Local Laws and Regulations.

7. Absolutely NO ALCOHOL or DRUGS on the Premises. Violation of this rule will result in immediate expulsion.

8. THF Entertainment will not be responsible for lost, stolen, or damaged items or equipment.

9. Vendor agrees to indemnify, defend and hold harmless The HUSH Foundation, THF Entertainment, the THF
Entertainment Committee (including its officers and members), and sponsors against any and all claims or liability,
including reasonable attorney fees, which may arise out of Vendor’s participation in the THF Entertainment pursuant to
this agreement.

10. Cancellatiion:  If the event is cancelled by the Host and the event is not rescheduled, all reservation Fees are
refundable. If event is rescheduled, reservation fees are non-refundable 7 days before the event. Either party seeking to
cancel this agreement must do so prior to 7 calendar days before the  Summer-End Festival takes place.  A Vendor
who fails to give 7 calendar days notice shall not receive a refund of their reservation fee. In addition,  a $25 per day fee
for each day in which notice was required and not given will be assessed.

Food Vendors are required to have a Torrance 2-Day Food License and Health Permit. The Food License can be
obtained at:

Torrance City hall is open from 7:30 am to 5:30 pm (Monday through Friday, closed alternate Fridays).

The Food license information will be forwarded to the Los Angeles County Health Department for approval and the Food
license and health permit will be issued once approval is received.

Vendors who sell products are required to have a State of California Sellers permit. The HUSH Foundation will provide a
Transient Permit for the CIty of Torrance for all Vendors, excluding Food Vendors who are responsible for.all necessary
Permits and licenses to sell in the City of Torrance.
